PRIMAL ITAD Terms and conditions
These Terms and Conditions (“Terms”) govern the purchase of IT assets (“Assets”) by Primal ITAD LLC (“Primal”), located in Albany County, New York. By selling Assets to Primal, the customer (“Customer”) agrees to these Terms.
1. Scope of Services
Primal purchases IT assets, including computers, servers, networking equipment, and related electronic devices (“Assets”), from customers for resale, refurbishment, or processing through authorized downstream partners. All purchases are made at Primal’s sole discretion.
2. Customer Representations & Warranties
- They are the lawful owner of the Assets and authorized to sell them.
- Assets are free of hazardous materials (e.g., liquids, chemicals, radioactive components, or unapproved batteries) unless disclosed and approved in writing.
3. Data & Confidentiality
- Customers are strongly encouraged to remove or wipe all data prior to transfer.
- Optional certified data destruction services are available upon request and governed by a separate agreement. Certificates of Destruction are provided in PDF format and verified through a third-party platform.
4. Title Transfer
Ownership of Assets transfers to Primal upon acceptance and inspection at Primal’s facility. Primal may then resell, refurbish, or transfer the Assets to authorized downstream partners in accordance with applicable law.
5. Pricing & Payment
- Purchase prices are determined at Primal’s sole discretion based on the condition, age, and market value of the Assets.
- Payment is issued after inspection and acceptance via the agreed-upon method.
- Primal reserves the right to adjust pricing or refuse Assets if hazardous or unapproved materials are discovered.
- All purchase decisions and prices are final once agreed upon.
6. Disclaimer
ALL PURCHASES AND SERVICES ARE PROVIDED “AS IS.” PRIMAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR DATA SECURITY, EXCEPT AS EXPRESSLY AGREED IN WRITING.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIMAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS INTERRUPTION.
8. Governing Law
These Terms are governed by the laws of the State of New York. Any disputes shall be resolved in state or federal courts located in Albany County, New York.
